BACBUCKS TERMS OF SERVICE AND LICENSE AGREEMENT

PLEASE READ THE FOLLOWING TERMS OF SERVICE AND LICENSE AGREEMENT CAREFULLY BEFORE ACCESSING, USING, PROMOTING, LISTING, PURCHASING, OR SUBMITTING ANY INFORMATION THROUGH ANY PART OF THE BACBUCKS WEBSITE, PLATFORM, AFFILIATE PROGRAM, OR RELATED SERVICES.

The following are the terms and conditions for use of www.BacBucks.com and its related services, features, software, tracking tools, reporting tools, checkout flows, dashboards, content, and affiliate program services (collectively, the "Services"). The Services are owned and operated by RESEARCH SCIENCES LLC DBA BacBucks ("BacBucks," "us," "our," or "we").

By accessing the Services, continuing to access the Services, creating an account, listing an offer, promoting an offer, purchasing any product or service through the Services, or submitting any information through the Services, you agree to be bound by all of these terms and conditions governing the use of the Services (the "Terms").

Use of the Services is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.

I. OVERVIEW

BacBucks provides a platform through which sellers may offer products or services, affiliates may market those products or services, and customers may purchase those products or services from sellers.

If a customer purchases a product or service from a seller, the resulting agreement is solely between the customer and the seller and not with BacBucks, unless BacBucks is expressly identified as the seller on the applicable order page.

The seller, and not BacBucks, is responsible for the creation, offer, sale, promotion terms, fulfillment, shipping if applicable, refunds, customer support, legal compliance, and claims relating to any product or service sold through the Services.

Any dispute between a customer and seller must be resolved between the customer and seller. The terms of a customer's purchase from a seller are subject to all terms and conditions contained on the order page, sales page, checkout page, and any other terms disclosed by the seller.

Sellers and affiliates may also be subject to separate seller policies, affiliate policies, payout rules, offer guidelines, compliance rules, or other supplemental agreements issued by BacBucks from time to time.

BacBucks does not guarantee that any user of the Services will achieve any particular results of any kind through use of the Services or through any product or service offered by any seller through the Services.

II. REGISTRATION, ELIGIBILITY FOR SERVICES, PAYMENT, AND INFORMATION SUBMISSION

Registration

In order to use some of the Services' features, you may be required to register and create an account. In order to create an account, you must complete the registration process by providing BacBucks with complete and accurate information as requested by the applicable registration form, including contact information, login credentials, payout details, and any other required information.

You shall protect your password and take full responsibility for all activity that occurs under your account, whether by you or any third party using your credentials or accessing the Services on your behalf.

You agree to notify BacBucks immediately of any unauthorized use of your account or any other breach of security. If you create an account on behalf of an entity, these Terms bind both you and that entity.

Refusal of Service

BacBucks reserves the right, with or without notice, to terminate accounts, refuse service, reject offers, delay payouts, place reserves, or restrict access to any person or entity that violates these Terms, violates another party's rights, abuses other users, misuses the Services, creates legal or processor risk, engages in excessive chargebacks or refunds, or otherwise engages in conduct BacBucks considers inappropriate or harmful in its sole discretion.

Payment

If you make any purchases through the Services, you agree to pay all applicable charges and fees for those purchases and to comply with the terms of the applicable payment processor. Unless otherwise stated, all prices are stated in U.S. dollars.

Information Submission and Age Restriction

By submitting any information through the Services, including any User Content described below, you represent and warrant that you are 18 years of age or older and legally able to enter into these Terms. BacBucks does not intend to collect personal information from children under 18.

Data Importation

The Services may allow you to import data or content from third-party sources not affiliated with BacBucks. If you choose to import any content into the Services, you represent that you have the authority to do so and that your importation of that content does not violate any law, contract, or third-party right.

III. MODIFICATIONS TO TERMS OF SERVICE AND OTHER POLICIES

BacBucks reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy governing use of the Services, at any time by posting the revised terms or policy on the BacBucks website.

The most current version of these Terms will control your use of the Services. If BacBucks makes material changes to these Terms, we may update the effective date at the top of this page. We are not obligated to provide notice by email or personal contact.

You agree that your continued access to or use of the Services after any updated Terms become effective constitutes your acceptance of those updated Terms.

IV. PROPRIETARY RIGHTS

Except as expressly provided in these Terms, BacBucks reserves all right, title, and interest in and to the Services and the Services' content, including all copyrights, trademarks, trade dress, patents, software rights, database rights, and other intellectual property rights.

You may not copy, reproduce, distribute, modify, reverse engineer, license, sell, or exploit any part of the Services except as expressly permitted by BacBucks in writing.

V. TRANSACTIONS, PAYMENTS, SUBSCRIPTIONS, COMMISSIONS, AND REFUNDS

Transactions Between Customer and Seller; Release

BacBucks provides a platform through which sellers may offer products or services, affiliates may market those products or services, and customers may purchase those products or services from sellers.

If a customer purchases a product or service from a seller, the resulting agreement is solely between the customer and the seller and not with BacBucks, unless BacBucks is expressly identified as the seller.

Any disputes between customer and seller must be resolved directly between customer and seller. Review all terms of purchase before placing your order.

BacBucks will not be responsible for and expressly disclaims liability for claims, demands, injuries, losses, damages, or controversies arising out of or connected with any product or service sold by a seller through the Services.

By using the Services, you agree to release and hold BacBucks harmless from any dispute, claim, or controversy arising from products or services purchased through the Services or from disputes between users of the Services.

Payment Processing Account

BacBucks may facilitate payments through one or more supported payment processors, gateways, banks, tax service providers, payout providers, and fraud-prevention vendors. In order to use certain Services, you may be required to establish and maintain an account with one or more supported third-party providers.

You are responsible for complying with all requirements of any supported payment processor or service provider and for maintaining accurate and complete registration, payout, and tax information.

BacBucks is not responsible for any error, delay, hold, reserve, reversal, rejection, or omission by any payment processor or third-party provider.

Seller Payment Responsibility

Each seller is solely responsible for the terms of its offers, including pricing, billing, continuity terms, subscriptions, refunds, fulfillment, taxes, legal compliance, customer support, and all claims made in connection with its products or services.

Affiliate Commissions

Affiliate commissions are earned only on valid transactions that survive fraud review, compliance review, refund periods, chargeback review, processor review, and any other quality-control or risk-control measures used by BacBucks.

BacBucks may reverse, reduce, cancel, offset, or withhold commissions where there is a refund, chargeback, duplicate transaction, invalid order, suspected fraud, policy violation, self-dealing, abusive traffic, low-quality traffic, deceptive promotion, or any other issue that BacBucks determines affects the legitimacy of the transaction or the integrity of the Services.

Free Trials and Subscriptions

BacBucks may offer free trials, subscriptions, memberships, continuity programs, software access, or recurring billing services from time to time. If you do not cancel within the stated trial or billing period, you may be charged in accordance with the disclosed terms of the applicable offer or service.

Please review the specific terms of any free trial, subscription, or recurring billing arrangement before enrolling.

Refund Policy

BacBucks does not guarantee any refunds unless BacBucks is expressly identified as the seller and expressly provides a refund policy for the applicable offer.

All refund requests and product disputes relating to third-party seller offers must be resolved directly between the customer and the applicable seller. If an order is refunded, disputed, reversed, or charged back, BacBucks may also reverse any associated commissions, fees, or payouts.

VI. THIRD-PARTY SERVICES

The Services may use, provide access to, or integrate with one or more third-party services to process payments, perform analytics, verify identity, process registrations, send communications, host content, fulfill orders, or provide other services.

Your interactions with any third-party service are governed by that third party's terms and policies. Any disputes regarding third-party services must be resolved directly between you and the applicable third party.

BacBucks disclaims all warranties and representations regarding third-party services and may subcontract portions of the Services to third parties at its discretion.

VII. USER-GENERATED AND THIRD-PARTY CONTENT

Overview

The Services may allow users and third parties to upload, submit, post, publish, transmit, or otherwise make available content, including listings, images, videos, copy, reviews, comments, messages, profile information, testimonials, ratings, and other materials ("User Content").

User Obligations and License

You alone own and are solely responsible for the User Content you submit through the Services. You agree not to submit User Content that is false, deceptive, defamatory, infringing, unlawful, harassing, abusive, obscene, or otherwise improper.

By submitting User Content through the Services, you represent and warrant that you have the right to submit that content and that the content is accurate to the best of your knowledge.

By submitting User Content, you grant BacBucks a perpetual, irrevocable, royalty-free, worldwide, non-exclusive, assignable, sublicensable, and transferable license to use, host, store, copy, reproduce, modify for formatting, display, distribute, publish, and otherwise use that User Content for purposes related to operating, securing, improving, marketing, or providing the Services.

Testimonials and Reviews

If you submit a testimonial, review, rating, photograph, video, or statement regarding any seller, product, affiliate, customer, or Service, you represent that it is truthful and accurately reflects your experience. You are solely responsible for such content.

If you received compensation, free products, discounts, or any other incentive in connection with a testimonial or review, you must disclose that fact as required by law.

Rules of Conduct

In addition to all other obligations in these Terms, you agree to abide by any rules of conduct or community guidelines posted by BacBucks. BacBucks reserves the right, but not the obligation, to remove, screen, edit, suspend, or restrict any User Content or user activity that violates these Terms or any posted rules.

No Responsibility for User Content

User Content does not necessarily reflect the views of BacBucks. BacBucks is not responsible for the accuracy, completeness, legality, or reliability of User Content submitted by users or third parties.

VIII. ACCEPTABLE USE AND PROHIBITED CONDUCT

You agree not to use the Services to:

  • violate any law or regulation,

  • infringe any intellectual property or privacy right,

  • transmit spam or unlawful marketing,

  • use unlawful email, calling, or SMS practices,

  • manipulate attribution, tracking, or commissions,

  • engage in cookie stuffing, fake traffic, or fake leads,

  • impersonate another person or entity,

  • upload malicious code,

  • interfere with the Services or their security,

  • scrape or extract data without permission,

  • misuse another user's account,

  • promote offers using deceptive claims, or

  • otherwise harm BacBucks, its users, its processors, or its partners.

IX. PRIVACY

Your use of the Services is also subject to the BacBucks Privacy Policy, which is incorporated into these Terms by reference.

If you collect, receive, use, import, export, or process personal data through the Services, you are solely responsible for complying with all applicable privacy, marketing, and data-protection laws, including providing all required notices and obtaining all required consents.

X. SMS/TEXT MESSAGING PROGRAM

BacBucks may send SMS/text messages to users who voluntarily opt in through our website forms at https://media.bacbucks.com/contact-us. These messages may include transactional and account-related notifications such as account updates, purchase confirmations, payout notifications, affiliate account activity updates, customer support messages, security alerts, and other service-related communications. Users may also separately opt in to receive marketing and promotional messages, including special offers, promotions, affiliate opportunities, discounts, and platform updates.

To stop receiving messages, reply STOP to any text message. For help, reply HELP.

Message and data rates may apply. Check with your carrier for details.

Carriers are not liable for delayed or undelivered messages.

XI. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACBUCKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, UPTIME, ACCURACY, AVAILABILITY, RESULTS, AND SECURITY.

BACBUCKS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, FRAUD, OR HARMFUL COMPONENTS.

BACBUCKS DOES NOT GUARANTEE SALES, TRAFFIC, CONVERSIONS, COMMISSIONS, PROFITS, OR ANY PARTICULAR BUSINESS OUTCOME.

XII. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACBUCKS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AFFILIATES, SERVICE PROVIDERS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACBUCKS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID DIRECTLY TO BACBUCKS IN THE THREE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) $250.

XIII. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless BacBucks, its owners, officers, directors, employees, contractors, affiliates, licensors, service providers, successors, and assigns from and against any claims, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Services,

  • your products, services, offers, promotions, traffic, or content,

  • your violation of these Terms,

  • your violation of law, or

  • your infringement or violation of any third-party rights.

XIV. TERMINATION OR SUSPENSION

BacBucks reserves the right, with or without notice, to suspend, restrict, or terminate your access to the Services or any portion of the Services for any reason, including suspected fraud, noncompliance, abuse, excessive chargebacks, refund issues, processor pressure, legal exposure, reputational risk, or any other reason determined by BacBucks in its sole discretion.

Termination or suspension does not eliminate obligations accrued prior to termination or suspension.

XV. COPYRIGHT COMPLAINTS

If you believe content on the Services infringes your copyright, send a written notice containing:

  • your physical or electronic signature,

  • identification of the copyrighted work claimed to be infringed,

  • identification of the allegedly infringing material and its location,

  • your contact information,

  • a statement that you have a good-faith belief that the use is unauthorized, and

  • a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act.

XVI. GOVERNING LAW, ARBITRATION, AND CLASS ACTION WAIVER

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration on an individual basis and not in court, except that either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction for misuse of intellectual property, fraud, or unauthorized access.

The arbitration shall take place in Broward County, Florida, unless the parties agree otherwise.

Each party waives the right to a jury trial and waives the right to participate in any class action, class arbitration, consolidated action, or representative proceeding.

XVII. GENERAL PROVISIONS

These Terms, together with any policies, guidelines, or supplemental agreements incorporated by reference, constitute the entire agreement between you and BacBucks regarding the Services.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

BacBucks' failure to enforce any provision shall not constitute a waiver of that provision.

You may not assign these Terms without BacBucks' prior written consent. BacBucks may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.
